1. Overview

These terms of use ("AI Terms of Use") govern your use of any Services consisting of AI products, features, bots, agents, services and/or tools ("AI Services") offered by GoDaddy.com, LLC or its affiliates (“GoDaddy”). Additionally, your use of AI Services are subject to GoDaddy’s Universal Terms of Service Agreement, Global Privacy Notice, Data Processing Addendum and all applicable product specific terms or any terms applicable to the site through which you use our AI Services (collectively, with AI Terms of Use, the “Agreement”). Capitalized terms used, but not defined, in these AI Terms of Use, have the meanings given elsewhere in the Agreement.

2. Content Generally

1. You may provide input to the AI Services ("Input") and receive or use output from AI Services that is based on the Input ("Output"). Input includes without limitation all feedback, instructions, information, or prompts that you provide as part of AI Services. Input and Output are collectively "Content". You are responsible for all Content, including ensuring that it does not violate any applicable law or these AI Terms of Use or other terms in the Agreement or infringe any third party’s intellectual property, publicity, privacy, or other proprietary rights. 
2. GoDaddy exclusively owns all rights, title, and interest in and to the AI Services and other Services (as defined in the Universal Terms of Service Agreement) and nothing contained in these AI Terms of Use shall be considered as granting you any proprietary rights in the AI Services.
3. As between you and GoDaddy, and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. To the extent permitted by applicable law, we hereby assign to you all our right, title, and interest, if any, in and to Output.
4. We may use Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, to market and advertise our Services and keep our Services safe. 
5. You represent and warrant that you either fully and exclusively own or have all necessary rights, licenses, consents, authorizations, and permissions for all materials used as Input. 

3. Output

1. Use of our AI Services may, in some situations, result in Output that (i) does not accurately reflect real people, places, or facts or is otherwise inaccurate, misleading, or false; (ii) may infringe a third party’s, intellectual property, publicity, privacy, or other proprietary rights; (iii) may be objectionable or contain bias; or (iv) violates the law. You should not rely on Output from our AI Services as a sole source of truth or factual information, or as a substitute for professional advice, or to be non-infringing, unobjectionable, or fully in compliance with the law. 
2. GoDaddy also does not review the Content for accuracy, bias or intellectual property, publicity, privacy, or other proprietary rights clearance. GoDaddy makes no representation, warranty or guarantee as to the accuracy or reliability of the AI Services or whether the Output may infringe on third-party’s intellectual property, publicity, privacy, or other proprietary rights. 
3. By using the AI Services or the Output, you understand and agree:
   1. Output may not always be accurate. You should not rely on Output from our AI Services as a sole source of truth or factual information, or as a substitute for professional advice.
   2. You must perform a human evaluation of the Output to ensure accuracy, truthfulness, and appropriateness for your use case before using or sharing Output from the AI Services. 
   3. Our AI Services may provide incomplete, incorrect, offensive, or biased Output that does not represent GoDaddy’s views. You should always review, and when necessary revise, the Output to ensure accuracy and truthfulness and remove any offensive or biased materials. If Output references any third party products or services or expresses any views, it doesn’t mean that GoDaddy endorses the third party or is affiliated with GoDaddy or the views reflect GoDaddy’s views.
   4. Outputs may not be unique across users and the AI Services may generate the same or similar Outputs for other user.
   5. You must not remove or alter any AI related or other disclosures incorporated by GoDaddy into the Output. 

4. Auto-Publish

The AI Services may offer features where Output is automatically posted directly onto your website, blog or your accounts on third party social media platforms (collectively, “Your Properties”) without any human intervention (“Auto-Publish”). If you consent to use Auto-Publish, you acknowledge and agree that:

1. GoDaddy has no control over the Output and does not review any Output prior to or after it is posted to Your Properties;
2. GoDaddy will provide you with a notice prior to Output being published to Your Properties to cancel or change the Output. If you do not cancel or change the Output pursuant to such notice, you are authorizing publication of the Output and the sole publisher of the Output. 
3. You will review all Output immediately after it is posted by the Auto-Publish to Your Properties and immediately remove any inappropriate content, including but not limited to content that is  defamatory, inaccurate, or infringes a third party’s rights or terms.; and 
4. There are inherent risks in the use of artificial intelligence and you are fully and exclusively responsible and liable for all Output that the AI Services post on Your Properties.

5. User-Facing Bots

AI Services may offer features that enable you to deploy automated communication tools (“Bots”) that will autonomously interact with users of your website, (“your customers”) on your behalf and without human intervention. Such interactions with your customers may occur on third party websites, including but not limited to social media sites and other places that your customers may leave comments or reviews about your business. These Bots will provide responses to your customers using “your information,” which includes but is not limited to your website content, policies, information that you provide to GoDaddy, publicly available data, and feedback and instructions that you provide to the Bots. If you consent to the use of Bots, you will be deploying the Bots on your website and you acknowledge and agree that: 

1. You are solely responsible for the accuracy of your information.
2. You are solely responsible for reviewing all Bot responses to your customers and for providing accurate feedback and instruction to the Bot. GoDaddy does not review Bot responses or provide instruction or feedback to the Bots on how to interact with your customers. 
3. You remain fully responsible for all Output made by a Bot to your customers. 
4. Bots are not qualified to replace professional services and you will not make any representations or claims that could lead your customers to believe that a Bot can provide such professional services. 
5. While the Bots will draw from your information, feedback, and instructions as outlined within this section, Bot responses may contain erroneous or outdated information. Such erroneous responses could include promises, offers, claims, or other representations to your customers on your behalf that you may be required to stand behind. By agreeing to deploy the bots on your website, you fully and exclusively accept these risks and acknowledge that GoDaddy will not have any responsibility for erroneous Bot responses.

6. AI Credits

Certain AI Services made available by GoDaddy may require the use of credits (“AI Credits”) or may otherwise be subject to usage-based limits. AI Credits may be included with a plan or purchased separately, as described on the applicable product pages. Credits represent only a limited license to access these AI Services and are not deposits, stored value, or financial instruments. Prices, available credit packages, and usage rules will be shown at the time of purchase or within the relevant product experience.

GoDaddy may, at its sole discretion, provide you free AI Credits to allow you limited access to try certain AI Services. You agree that such free AI Credits are subject to expiration or revocation at any time without notice or liability. By using free AI Credits, you acknowledge that your use is entirely at your own risk and that GoDaddy has no responsibility for any loss experienced from the termination of free AI Credits.

AI Credits are consumed as you use the relevant AI Service and the rate of consumption may vary based on the Service you are using and may change over time. We use reasonable efforts to meter usage accurately, but metering depends on the nature of your Input and Output, the AI Service you are using, and Third-Party AI Technology. By using any AI Service which requires AI Credits, you agree that our metering and billing records are authoritative. GoDaddy does not make any representation that your paid or free AI Credits will be sufficient for completing any specific action within our AI Services.

By purchasing or using AI Credits, you authorize GoDaddy to charge the applicable fees in accordance with these AI Terms of Use, the Agreement and any applicable product terms. AI Credits expire one (1) year after purchase or issuance (unless specified otherwise at the time of purchase), do not roll over, and any unused credits are forfeited when they expire or when your plan ends. When multiple AI Credit balances are available, GoDaddy may apply usage against the credits that expire first. AI Credits have no cash value, are not refundable, and cannot be transferred, resold, or redeemed for money or account credit. Your available AI Credits and expiration dates will be visible in your GoDaddy account or within the applicable AI product. GoDaddy may change how AI Credits are priced, allocated, visible or used over time without notice and at GoDaddy’s sole discretion.

7. Third-Party AI Technology

GoDaddy may use technology provided by third-party service providers to provide AI Services (“Third-Party AI Technology”). Notwithstanding anything to the contrary contained herein, you authorize GoDaddy and such third-party service providers to store and use your Input for the purposes of providing you with the AI Services, to review Inputs and Outputs for abuse or misuse, and to develop and improve the services and products of GoDaddy and such service providers’ Third-Party AI Technology, including as part of the design, training and development process for machine learning models. GoDaddy assumes no responsibility for Third-Party AI Technology. By using the AI Services, you expressly release GoDaddy from any and all liability arising from your use of any Third-Party AI Technology. 

8. Termination and Suspension

We reserve the right to suspend or terminate your access to our AI Services or delete your account at our sole discretion.

9. Compliance and Prohibited Uses

GoDaddy makes no representation, warranty or guarantee that Output or your use of AI Services will comply with any legal requirements that are relevant to you or your business. You are solely and exclusively responsible for all Output that you obtain through AI Services and for complying with all laws and regulations that apply to your use of AI Services, including but not limited to any disclosures or terms that need to be provided to your customers.  You must only use AI Services for business, trade, or professional purposes and not for private, personal or household use.

You must not use AI Services to engage in conduct that is unlawful, harmful, abusive, inappropriate or is otherwise contrary to the terms of the Agreement. You must not Input or use AI Services to generate Prohibited Content.  

10. Disclaimers

YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT OUTPUTS OF THE AI SERVICES HAVE NOT BEEN REVIEWED FOR ACCURACY, BIAS, EXPLAINABILITY OR INTELLECTUAL PROPERTY RIGHTS CLEARANCE. GoDaddy MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE AS TO THE ACCURACY, RELIABILITY, OR ERROR-FREE PERFORMANCE OF THE AI SERVICES, INCLUDING (WITHOUT LIMITATION) WHETHER OUTPUTS MAY INFRINGE, MISAPPROPRIATE OR VIOLATE ANY THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS.

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM OUR AI SERVICE IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

YOU SHOULD SEEK INDEPENDENT PROFESSIONAL ADVICE BEFORE YOU RELY ON ANY OUTPUT GENERATED BY THE AI SERVICES.

11. Limitation on Liability

IN NO EVENT SHALL GoDaddy, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR ANY THIRD-PARTY SERVICE PROVIDERS, BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING ANY THAT MAY RESULT FROM ANY OUTPUTS CREATED USING THE AI SERVICES.

IN ADDITION, YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT IN NO EVENT SHALL GoDaddy’S TOTAL AGGREGATE LIABILITY IN CONNECTION WITH THE AI SERVICES OR ANY OUTPUTS CREATED USING THE AI SERVICES EXCEED $10,000.00 U.S. DOLLARS.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THIS AGREEMENT OR YOUR USE OF THIS SITE, THE AI SERVICES OR ANY OTHER SERVICES FOUND AT THIS SITE.
